Terms of Use
Last updated: 30 August 2026
These Terms of Use (“Terms”) are a contract between you and Stillbrook Software Inc. (“Stillbrook”, “we”, “us”) for your use of FillFinder (the “Service”) at fillfinder.ca.
FillFinder is software that helps you find possible matches between sites that need fill and sites with surplus soil, using public records and user-posted marketplace listings. FillFinder is software only. Stillbrook is not a Qualified Person, environmental consultant, hauler, broker of record, or a party to any soil movement.
If you do not agree to these Terms and the Privacy Policy, do not create an account or use the Service.
Organization: Stillbrook Software Inc., Ontario, Canada
Contact: support@fillfinder.ca
1. Eligibility and accounts
You must be able to form a contract under Ontario law (generally 18 or older) and use FillFinder for a legitimate business purpose related to excess soil, construction, or site alteration.
You are responsible for the accuracy of your account details and for keeping your password confidential. Email support@fillfinder.ca if you think your account was misused.
Do not share logins. Team features, where offered, are the way to collaborate under one organization.
2. Trial and paid subscription
New accounts receive a 14-day trial with no credit card required. After the trial, continued access requires a paid subscription billed through Stripe at the then-current price shown on the billing page (about $20 CAD per month at last update). Taxes extra if they apply.
You can subscribe or cancel from the billing page. Access after the trial ends may be limited or turned off if you have not subscribed. Fees already paid are not refunded except where Ontario or Canadian law requires it.
Stripe processes the payment. We store Stripe customer and subscription IDs, not your full card number.
3. What the Service does — and does not do
FillFinder may:
- match a receiving-site location against municipal building-permit and related public records and the RPRA Excess Soil Registry;
- rank candidates by distance, volume, a haul-cost estimate, and a soil-quality likelihood derived from public records;
- host a marketplace where users post surplus or wanted fill, optional PDFs, and contact details;
- email you about new matches if you opt in.
FillFinder does not:
- characterize soil, act as a Qualified Person, or replace O. Reg. 406/19 requirements;
- survey sites or give quotes for trucking;
- verify that a listing, permit, or registry notice is current, complete, or accurate;
- arrange haulage, insurance, or title to soil;
- become a party to your contracts or soil movements.
Rankings and haul costs are estimates. The haul-cost figure is a ballpark of the form 2 × kilometres × $/km × tri-axle loads. Public-record soil quality is not a QP characterization under O. Reg. 406/19. See the Disclaimer.
You remain solely responsible for compliance with O. Reg. 406/19, RPRA notice rules, municipal site-alteration by-laws, and every other law that applies to moving soil.
4. Acceptable use
You agree not to:
- post listings you know are false, misleading, or not yours to offer;
- upload malware, or files you do not have the right to upload;
- scrape, harvest, or bulk-export the Service in a way that harms it or violates a data source’s licence;
- probe, overload, or bypass rate limits, CSRF, or authentication;
- use someone else’s account, or harvest other users’ contact details for spam;
- use FillFinder to commit fraud or to dodge excess-soil or environmental rules;
- misrepresent that Stillbrook or FillFinder verified a match, characterized soil, or is a party to a movement.
We may suspend or close an account that, in our reasonable judgment, breaches these Terms or threatens the Service or other users.
5. Marketplace content
Listings, PDFs, and contact details are user claims. Stillbrook does not verify them. The poster is responsible for what they post.
You grant Stillbrook a non-exclusive, worldwide, royalty-free licence to host, display, index, match against, and otherwise process your postings so we can operate FillFinder (including showing them to other users and generating match emails). You keep ownership of your content.
You represent that you have the right to post what you post, that it is not knowingly false, and that it does not infringe anyone else’s rights or contain personal information you are not allowed to share.
You can unpublish or delete your own postings as the product allows. Cached or backup copies may take a short time to disappear. Other users may have already seen or copied what you posted.
6. Public-record data
Candidate sites come from municipal open data and the RPRA Excess Soil Registry, geocoded with OpenStreetMap/Nominatim. Records can be stale, incomplete, duplicated, or wrong. Licences of those sources still apply. OSM data is © OpenStreetMap contributors.
A “match” is a software ranking, not a finding that soil is available, acceptable, or legal to move.
7. Intellectual property
FillFinder’s software, user interface, trademarks, and the way we rank and present results are owned by Stillbrook Software Inc. You receive a limited, revocable, non-transferable right to use the Service for your internal business while your account is in good standing.
You may not copy the product, reverse engineer it except where the law says you can, or use our name to imply we endorse a soil movement.
8. Disclaimer of warranties
The Service is provided as is and as available. To the extent Ontario and federal Canadian law allow, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that matches, haul estimates, soil-quality likelihoods, or listings are accurate, current, or fit for a regulatory filing.
9. Limitation of liability
To the extent Ontario and federal Canadian law allow, Stillbrook and its directors, officers, employees, and suppliers are not liable for indirect, incidental, special, consequential, punitive, or lost-profit damages, or for the cost of substitute services, arising out of the Service or any soil movement you arrange.
Our total liability for all claims relating to the Service is limited to the greater of (a) the subscription fees you paid us for FillFinder in the 12 months before the claim, and (b) CAD $100.
Nothing in these Terms excludes liability that Ontario or Canadian law does not allow us to exclude (including fraud or statutory liability that cannot be waived).
You use match results, haul estimates, and listings entirely at your own risk.
10. Indemnity
You will indemnify and hold harmless Stillbrook Software Inc. and its directors, officers, and employees against claims, losses, and reasonable legal costs arising from: (a) your postings or uploaded files; (b) your use of the Service; (c) any soil movement, contract, or haul you arrange; (d) your breach of these Terms; or (e) your failure to comply with O. Reg. 406/19 or other law.
11. Termination
You may stop using FillFinder at any time. Email support@fillfinder.ca to close the account.
We may suspend or terminate access if you breach these Terms, if required by law, or if we stop offering the Service. After termination, sections that by nature should survive (including 5–10 and 12–13) continue to apply.
12. Changes
We may change these Terms. We will update the “Last updated” date. For material changes we will try to notice you through the Service or by email. Continued use after the change means you accept the new Terms. If you do not agree, stop using the Service and ask us to close the account.
13. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply in Ontario, without regard to conflict-of-law rules. The courts of Ontario have exclusive jurisdiction, except that we may seek injunctive relief anywhere to protect the Service.
14. General
These Terms, the Privacy Policy, and the Disclaimer are the agreement between you and Stillbrook for FillFinder. If a court finds a part unenforceable, the rest stays in force. A waiver on one occasion is not a waiver later. You may not assign this agreement without our consent; we may assign it as part of a corporate reorganization.
